c. Provision of legal protection products and digital tools for independent creators, artists, producers, and entertainment professionals. These include, but are not limited to, contract templates, intellectual property protection kits, and royalty preservation services.
By using our website or services, you represent, warrant, and agree to the following:
a. You are at least eighteen (18) years of age or have obtained verifiable legal consent from a parent or guardian;
b. You shall not use our services for any unlawful, unauthorized, or unethical activities;
c. You shall be solely responsible for maintaining the confidentiality and security of your login credentials;
d. You shall not engage in any conduct that infringes upon applicable law, the rights of third parties, or the intellectual property of BADKIDZ & CO., LLC.
a. All content contained on our website including, but not limited to, beats, audio files, fashion designs, contract templates, legal resources, visual branding elements, graphics, and this Agreement—is the sole and exclusive intellectual property of BADKIDZ & CO., LLC or its licensors. All rights are expressly reserved.
b. Any reproduction, distribution, modification, reverse engineering, translation, public display, or derivative use of our content, documents, or proprietary works without prior written authorization is strictly prohibited. This includes, without limitation, the unauthorized use of our legal templates, business materials, or this Agreement as a basis for derivative products or services.
c. All music licenses, contracts, and protection kits are governed by the terms specified at the point of sale. Any use beyond the scope of those terms such as resale, redistribution, or unlicensed adaptation is a breach of this Agreement and may be subject to immediate legal action.
a. The Company disclaims all warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness of any information, service, or product provided on or through our platform. All services are provided on an "as-is" and "as-available" basis.
b. Under no circumstances shall BADKIDZ & CO., LLC be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use or inability to use our services or website.
We reserve the right to suspend, restrict, or permanently terminate access to any of our services or digital platforms, with or without notice, for any reason we deem appropriate, including but not limited to violations of this Agreement or applicable laws.
a. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Florida, without regard to conflict of law principles.
b. Any disputes arising out of or related to this Agreement shall be exclusively resolved in the state or federal courts located within the State of Florida. By using our services, you expressly submit to the jurisdiction and venue of said courts.
